Legal and Compliance Manager (& RCCI) – Private Equity M/F

The firm:

Our Client, a leading international Private Equity firm, is looking, in the framework of its development, for its European activities, for a « Legal and Compliance Manager (& RCCI) ».

The position:

The successful candidate will provide legal and compliance advisory services with respect to our Client’s French AIFM by serving as legal and compliance manager (including the responsibility of RCCI – Responsible de la Conformite et du Controle Interne – as per the AMF rules) and will be responsible for adherence to all legal and compliance requirements related to our Client’s Luxembourg domiciled investment products.

The Legal and Compliance Manager will be expected to, amongst other things:

-Identify, track, monitor and ensure compliance with the rules to which the AIFM is subject in the exercise of its activities and keep a record of the essential rules. Where required, liaise with the regulator in their capacity as compliance officer,

-Identify, track, monitor and ensure compliance with the rules to which the various investment funds and other products advised by the AIFM, specifically those domiciled in Luxembourg, are subject and keep a record of compliance. Where required, liaise with the regulator, including the Luxembourg CSSF, on matters related to the funds,

-Liaise with investors, central administrators, depositaries, and other requisite parties to ensure ongoing compliance with KYC rules to which the products advised by the AIFM provides management services,

-Assist and advise senior management as regards questions of compliance, rules and legal developments, in particular by bringing to their attention developments that may subsequently have an impact on our Client’s business,

-Undertake regular compliance monitoring and compliance risk assessments,

-Specifically as RCCI, duly accredited by the AMF, the Legal and Compliance Manager will endorse the duties of the RCCI, which cover amongst other things the responsibility of the permanent control,

-Work with our Client’s global legal and compliance team to continually update policies and procedures.

Profile of the candidate:

M/F. A degree level qualification, or equivalent, ideally in Business, Finance, Law or Compliance and Risk Management.

Fluent in English, the candidate must have 3 to 7 years’ relevant work experience preferably in a private equity management company or law firm, ideally completed with a work experience in Fund Administrator or equivalent.

Existing AMF Accreditation as RCCI, or commitment to pass the correspondent exam to become accredited.

The candidate will have an excellent knowledge of the French and Luxembourg regulatory environment for investment firms and funds as well as relevant European regulation (such as AIFMD, GDPR, AML directives etc.).
